This Club shall be know as the FALLON BOWMEN, and shall be run as a non-profit organization according the laws of the State of Nevada.
The purpose of this Club is to encourage the sport of Archery in both hunting and competition shooting. Also, to promote it as a family sport.
The Club shall hold general membership meetings as required. The Club will hold board meetings as required. These meetings will be at 7:00 p.m.
The General Membership will by vote, elect the people who shall hold the offices of President, Vice President, Secretary, and Treasurer. There will also be a Board of Directors elected. The Board of Directors shall consist of the past Club President, the Current Club President, the Vice-President, the Secretary, the Treasurer, and three (3) elected club members in good standing (have current dues paid). The terms of the officers shall run two (2) years, and the elected Directors shall also run two (2) years.
MEMBERSHIP – Membership shall be open to anyone interested in the sport of Archery. You become a member when you fill out an application and pay the dues for the year.
DUES – Dues shall be due and payable at the time of the general membership meeting in January of each year. Any member who has not paid their annual dues before March 1st of each year shall be delinquent and dropped from membership and dropped from the mailing list of the club. A membership so terminated shall be reinstated only upon filing a new application for membership, and paying the dues for the year. A new membership may be had at any time during the year by filling out a membership application and paying the current dues. All membership fees and dues shall be paid to the Treasurer. No cancellation or refund of fees or dues shall be made. Dues are $20.00 for a family, and $15.00 for a single. When a person turns 18 years of age, they will be considered an adult, and must pay the single rate.
VOTING – Any member in good standing (current dues paid) and over the age of fourteen (14) years of age is eligible to vote on club business. Elections can be by show of hand or by ballot.
OFFICERS – The officers of the club shall consist of a President, a Vice-President, a Secretary, and a Treasurer. The officers shall be elected by the general membership at the year-end general meeting. All officers shall be elected for the period of two (2) years, or until successors are elected or appointed if necessary, and shall be eligible for re-election. All officers shall hold office subject to removal by a two-thirds (213) vote of the general membership.
PRESIDENT – The President shall be the chief officer of the club. The President shall preside at all meetings of the club. He or she shall perform all other duties as may be prescribed by the Board of Directors, or by the General Membership. At the expiration of their term, he or she shall deliver to their successor all the property belonging to the club.
VICE-PRESIDENT – In the absence of the President, the Vice-President shall have the powers of the President and shall perform the duties of the President, and other such duties as may be prescribed by the Board of Directors or by the General Membership. At the expiration of their term, he or she shall deliver to their successor all the property belonging the club.
SECRETARY – The Secretary shall keep the minutes of all membership and Board meetings, and shall keep and safe guard the records of the club. He or she shall make a report of the office at all regular meetings, and make a report of the office to the Board of Directors. He or she shall also send out a club newsletter when needed. At the expiration of their office, he or she shall deliver to their successor all books, monies, and other properties of the club.
Treasurer – The Treasurer shall keep full and accurate accounts of receipts and disbursements in books belonging to the club. And shall deposit all monies and other valuable affects in the name of and to the credit of the Fallon Bowmen. He or she shall disburse the funds of the club as may be ordered by the General Membership or the Board of Directors, taking proper vouchers for such disbursements and shall render to the Board and membership at all meetings, the financial condition of the club and whenever required, accounts of all his or her transactions as Treasurer. At the expiration of their office, he or she shall deliver to their successor all monies, books, and properties of the club.
BOARD OF DIRECTORS – The powers and authority of the club shall be vested in and exercised by a Board of Directors. The Board shall consist of eight (8) elected members. This will include the current elected officers, the immediate past president and three (3) elected club members in good standing (current dues paid). The Board of Directors shall have the power and the authority to make, amend, repeal, enforce such rules and regulations not contrary to the By-Laws, as they deem appropriate concerning the conduct management, and activities of the club. Including archery shoots, competitions, and workdays.
ABSENCES – In the event that a Board member is absent from three (3) consecutive board meetings or fails to attend seventy-five percent (75%) of the meetings without the consent of the Board, then in such event, all offices and the directorship held by such person in the club shall terminate. Five directors shall constitute a quorum, and a majority vote of the five (5) directors shall decide the issues involved. The President is to vote in a tie-breaking capacity, or to make a quorum.
